Terms of Service

Effective: August 31, 2026

1. Agreement Between User and CultureSafe Consulting, LLC

Welcome to www.jamesheffner.com. The www.jamesheffner.com website (the “Site”) is comprised of various web pages operated by CultureSafe Consulting, LLC (“CultureSafe,” “we,” “us,” or “our”). The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Site constitutes your agreement to all of these Terms. Please read them carefully and keep a copy for your reference.

If you do not agree to these Terms, do not use the Site.

2. Who We Are

CultureSafe Consulting, LLC is a Connecticut-based organizational development and learning consultancy founded and led by James Heffner, Ed.D. We work with organizations and their leaders on psychological safety, culture transformation, and leadership development.

3. Eligibility

The Site and our services are intended for adults. You must be at least 18 years old to use the Site, create an account, or purchase anything from us. We do not knowingly collect personal information from anyone under 18. If you believe a minor has provided us with personal information, please contact us and we will take steps to remove it.

4. The Site Is a Commercial Site

Through the Site we offer and sell:

  • Coaching and consulting engagements — individual leadership coaching and organizational advisory work, delivered under a separate written agreement or statement of work;
  • Live and cohort-based programs — including facilitated workshops and multi-session leadership programs; and
  • Self-paced digital courses and materials — recorded training, workbooks, handouts, assessments, templates, and other written and online materials in the fields of psychological safety, organizational development, leadership, and workplace learning.

We may add, change, or discontinue any offering at any time.

5. No Professional Advice; Not Clinical Care

We take considerable care in preparing the material found on the Site and in our programs. However, the Site and its content are educational and informational. They do not constitute legal, human resources, employment law, medical, psychological, or clinical advice regarding your individual circumstances, and no attorney-client, therapist-client, or other professional relationship is created by your use of the Site.

This point matters in our field. Our work concerns psychological safety as an organizational and team condition. It is not psychotherapy, counseling, crisis intervention, or mental health treatment, and it is not a substitute for care from a licensed clinician. If you or someone in your organization is experiencing a mental health crisis, contact a licensed professional or your local emergency services.

Before acting on anything you read or hear from us, consult a qualified professional — an attorney, an HR or employment law specialist, or a licensed clinician, as appropriate — about your specific situation.

6. No Guarantee of Results

We are glad when our clients succeed. We cannot guarantee that you or your organization will.

Any statements regarding outcomes, results, engagement scores, retention, team performance, business impact, or return on investment, including any examples, case studies, or estimates, are matters of our opinion and description of particular past circumstances. They are not a guarantee, assurance, warranty, or claim that you will experience the same or similar results.

Where specific results are described and attributed to a person, team, entity, or organization, there is no claim or guarantee that you will achieve the same. Testimonials, examples, and representations of the results of others are not representative and should not be considered average or expected outcomes. Organizational change depends on countless factors outside our control, including leadership commitment, existing culture, resourcing, and the actions of individuals.

7. Privacy

Your use of the Site is subject to our Privacy Policy, which also governs the Site and informs users of our data collection practices. Please review it at https://www.jamesheffner.com/privacy.

8. Electronic Communications

Visiting the Site or sending emails to CultureSafe constitutes electronic communication. You consent to receive electronic communications from us relating to your account, your purchases, and these Terms, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, by email and on the Site, satisfy any legal requirement that such communications be in writing.

This section covers transactional and legal notices only. Marketing and promotional email is separate: we send it only where you have signed up or where the law otherwise permits, and you can unsubscribe at any time, as described in our Privacy Policy.

9. Your Account

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account and password, for restricting access to your devices, and for all activity that occurs under your account or password. You agree to provide accurate information and to keep it current.

You may not assign or otherwise transfer your account to any other person or entity. Course and program access is licensed to you individually and may not be shared with colleagues, teams, or third parties unless you have purchased a group or organizational license.

You acknowledge that CultureSafe is not responsible for third-party access to your account that results from theft or misappropriation of your credentials. Please notify us promptly of any unauthorized use. CultureSafe reserves the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

10. Purchases, Fees, Refunds, and Cancellations

Prices for products and services are stated at the point of purchase and may change at any time. You are responsible for any applicable taxes.

Refunds, cancellations, rescheduling, and payment terms are governed by the specific agreement applicable to your purchase — the checkout terms shown at the time of purchase, the program enrollment agreement, or the statement of work or consulting agreement executed between us. Where those terms conflict with these Terms, those terms control as to that purchase.

Payments are processed by third-party payment processors. We do not store or collect your payment card details; that information goes directly to the processor. Your use of a payment processor is subject to that processor’s own terms and privacy policy.

11. Community and Communication Services

The Site may contain community areas, forums, discussion boards, cohort spaces, comment areas, live session chats, or other message or communication facilities (collectively, “Communication Services”). If you use them, you agree to use them only to post, send, and receive messages and material that are appropriate and related to the particular Communication Service.

Our work is about creating conditions where people can speak candidly without fear. We ask the same of our community.

Community conduct

By way of example, and not as a limitation, you agree that when using a Communication Service you will not:

  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others, including rights of privacy and publicity;
  • Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, discriminatory, or unlawful topic, name, material, or information;
  • Share, outside the community, any personal story, disclosure, or organizational detail another member shared inside it, in a form that identifies that person or their employer, without their explicit permission;
  • Use anything disclosed in the community to retaliate against, evaluate, discipline, or disadvantage another member;
  • Upload files containing software or other material protected by intellectual property laws, or by rights of privacy or publicity, unless you own or control the rights or have received all necessary consents;
  • Upload files containing viruses, corrupted files, or any other software or programs that may damage the operation of another’s computer;
  • Advertise or offer to sell or buy any goods or services for any business purpose, unless the Communication Service specifically permits it;
  • Conduct or forward surveys, contests, pyramid schemes, or chain letters;
  • Download any file posted by another user that you know, or reasonably should know, cannot legally be distributed in that manner;
  • Falsify or delete any author attributions, legal or other proper notices, or proprietary designations or labels;
  • Restrict or inhibit any other user from using and enjoying the Communication Services;
  • Violate any code of conduct or other guidelines applicable to a particular Communication Service;
  • Harvest or otherwise collect information about others, including email addresses, without their consent; or
  • Violate any applicable laws or regulations.

Confidentiality within the community

Many members participate in order to discuss real difficulties in their organizations. Treat what is shared in a community space as confidential to that space. We may remove members who breach this expectation.

Our role

CultureSafe has no obligation to monitor the Communication Services. However, we reserve the right to review materials posted and to remove any materials in our sole discretion, and to terminate your access to any or all of the Communication Services at any time, without notice, for any reason.

We reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, in whole or in part, in our sole discretion.

Always use caution when giving out personally identifying information about yourself, your colleagues, or your organization in any Communication Service. CultureSafe does not control or endorse the content, messages, or information found in any Communication Service and specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation. Community managers, facilitators, and hosts are not authorized CultureSafe spokespersons, and their views do not necessarily reflect ours.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and dissemination. You are responsible for adhering to those limitations.

12. Materials You Provide to Us

CultureSafe does not claim ownership of the materials you provide to the Site, including feedback and suggestions, or post, upload, input, or submit to the Site or our associated services (collectively, “Submissions”).

However, by posting, uploading, inputting, providing, or submitting a Submission, you grant CultureSafe, our affiliates, and necessary sublicensees permission to use your Submission in connection with the operation of our business, including the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat it, and to publish your name in connection with it.

Limits on that license. Notwithstanding the license above, and regardless of the form the Submission takes (i.e., testimonial, quotation, case study, story, community post, survey response, or anything else), we will not publish or use outside our community spaces any Submission that identifies you or your employer without your separate written permission. We also will not use your Submissions to train artificial intelligence or machine learning models, and we will not sell them.

No compensation will be paid with respect to the use of your Submission. CultureSafe is under no obligation to post or use any Submission and may remove any Submission at any time in our sole discretion.

By providing a Submission, you warrant and represent that you own or otherwise control all of the rights to it, including all rights necessary for you to provide, post, upload, input, or submit it.

13. Intellectual Property; Permitted Use

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. As a condition of your use, you warrant that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner that could damage, disable, overburden, or impair it, or interfere with any other party’s use and enjoyment of it. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site.

All content included as part of the Site and our services (i.e., text, graphics, logos, images, video, audio, assessments, frameworks, curricula, workbooks, slide materials, and the compilation thereof, as well as any software used on the Site), is the property of CultureSafe or its suppliers and licensors, and is protected by copyright and other laws protecting intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, and restrictions contained in that content, and will not make any changes to them.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content, in whole or in part. CultureSafe content is not for resale. In particular, you may not:

  • Reproduce or distribute our course materials, workbooks, or frameworks to colleagues, teams, or clients who have not licensed them;
  • Deliver our curricula or training materials as your own training, whether internally or to third parties, without a written license from us;
  • Record, transcribe, or reproduce live sessions without our written permission; or
  • Use our content, in whole or in part, to train an artificial intelligence or machine learning model.

You will use protected content solely for your own personal or licensed organizational use, and will make no other use without the express written permission of CultureSafe and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We grant you no licenses, express or implied, to our intellectual property or that of our licensors except as expressly authorized by these Terms.

14. Third-Party Sites, Services, and Accounts

The Site may contain links to other websites (“Linked Sites”). Linked Sites are not under our control, and we are not responsible for the contents of any Linked Site, including any link contained in a Linked Site or any changes or updates to it. We provide these links only as a convenience, and the inclusion of any link does not imply our endorsement of the Linked Site or any association with its operators.

Certain services made available through the Site are delivered by third-party sites and organizations, including our website and course platform, payment processors, and scheduling and email tools. By using any product, service, or functionality originating from the Site, you acknowledge and consent that CultureSafe may share information and data with any third party with whom we have a contractual relationship to provide the requested product, service, or functionality on behalf of Site users and customers.

CultureSafe may receive financial or other compensation from your use of some linked services. Where a link is an affiliate or referral link, we will identify it as such where required by law.

If you connect your CultureSafe account to a third-party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others in accordance with your privacy settings on those third-party sites. If you do not want information about you shared in this manner, do not use that feature.

15. International Users

The Site is controlled, operated, and administered by CultureSafe from our offices within the United States. If you access the Site from a location outside the United States, you are responsible for compliance with all local laws. You agree that you will not use content accessed through the Site in any country or in any manner prohibited by applicable laws, restrictions, or regulations.

16. Indemnification

You agree to indemnify, defend, and hold harmless CultureSafe Consulting, LLC, its members, officers, employees, contractors, agents, and third parties from any losses, costs, liabilities, and expenses, including reasonable attorneys’ fees, relating to or arising out of your use of or inability to use the Site or our services, any postings made by you, your violation of any of these Terms, your violation of the rights of any third party, or your violation of any applicable laws, rules, or regulations. CultureSafe reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.

17. Disclaimer of Warranties

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. CULTURESAFE CONSULTING, LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SITE AT ANY TIME.

CULTURESAFE CONSULTING, LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. CULTURESAFE CONSULTING, LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CULTURESAFE CONSULTING, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA, GOODWILL, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF CULTURESAFE CONSULTING, LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

This limitation applies to your use of the Site and its content. It does not limit or replace any liability terms negotiated in a separate signed consulting or program agreement between us, which govern that engagement.

19. Termination; Governing Law; General

CultureSafe reserves the right, in its sole discretion, to terminate your access to the Site and related services, or any portion of them, at any time and without notice.

Governing law and venue. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Connecticut, without regard to its conflict of laws provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Connecticut for all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including this section.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by sending us written notice describing the claim and giving us 30 days to respond and attempt a resolution in good faith.

No agency. You agree that no joint venture, partnership, employment, or agency relationship exists between you and CultureSafe as a result of this agreement or your use of the Site.

Compliance with law. Our performance of this agreement is subject to existing laws and legal process, and nothing in this agreement derogates from our right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by us with respect to that use.

Severability. If any part of this agreement is determined to be invalid or unenforceable under applicable law, including the warranty disclaimers and liability limitations above, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original, and the remainder of the agreement shall continue in effect.

Entire agreement. Unless otherwise specified, this agreement, together with our Privacy Policy and the checkout or enrollment terms presented at the time of a purchase, each of which is incorporated by reference, constitutes the entire agreement between you and CultureSafe with respect to the Site, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and CultureSafe with respect to the Site. It does not supersede any separately executed consulting agreement, statement of work, or program enrollment agreement, which governs the engagement it covers.

A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent, and subject to the same conditions, as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.

20. Changes to These Terms

CultureSafe reserves the right, in its sole discretion, to change the Terms under which the Site is offered. The most current version of the Terms supersedes all previous versions, and we will update the effective date at the top of this page. We encourage you to review the Terms periodically to stay informed of our updates. Your continued use of the Site after changes are posted constitutes your acceptance of them.
